Company Secretary & Legal Counsel – Sub‑Saharan Africa & Cameroon

About the role

We are seeking an experienced legal professional to combine Company Secretary duties across Sub‑Saharan Africa with Legal Counsel support for our operations in Cameroon. The role ensures robust corporate governance, regulatory compliance, and high‑quality legal advice to the business.

Key responsibilities

• Lead company secretarial activities in multiple Sub‑Saharan jurisdictions, ensuring statutory and regulatory compliance.
• Organise board and committee meetings, prepare agendas, minutes and resolutions.
• Maintain statutory records, filings and liaise with external secretarial providers and regulators.
• Support entity management, restructuring projects and governance best practices.
• Provide legal advice in Cameroon on commercial, employment, regulatory and other matters.
• Draft, review and negotiate contracts and legal documents.
• Manage dispute resolution and coordinate external counsel when needed.
• Identify legal risks, ensure compliance with local laws and internal policies, and partner with business stakeholders.

Required profile

• Minimum 5 years of experience in company secretarial or corporate governance roles, preferably in an international setting.
• Qualified lawyer in Cameroon or equivalent legal qualification.
• Strong knowledge of corporate governance frameworks and statutory compliance.
• Experience with Sub‑Saharan African markets is highly desirable.
• Fluent in English and French.
