Legal Counsel

About the role

The Legal Counsel will ensure the legal security of the company’s operations across the entire value chain, reporting directly to the CEO and advising the leadership team on strategic and operational matters.

Key responsibilities

• Advise the CEO on all strategic and operational legal matters.
• Draft, review and negotiate complex contracts such as EPC, mining conventions, transport agreements, co‑development contracts, subcontracting and community agreements.
• Conduct regular legal monitoring across mining, business, labour, environmental, taxation and public procurement law.
• Ensure compliance with local, regional and international regulations, including permits and authorisations.
• Manage litigation and pre‑litigation, liaising with law firms and handling social, commercial, land and institutional disputes.
• Support internal teams in contract negotiations and resolve operational legal issues.
• Develop and implement internal policies for legal risk management and contractual governance.
• Manage the company’s legal secretariat, including Board and General Assembly minutes and governance obligations.
• Train managers and operational staff on legal obligations.
• Represent the company before administrative, regulatory and judicial authorities.

Required profile

• Master’s degree (or equivalent) in Business Law, Mining Law, Public Law or International Law.
• 12 to 15 years of experience in a renowned law firm or a similar in‑house role within an industrial company.
• Strong knowledge of contract, mining, labour, fiscal, corporate, infrastructure and environmental law, as well as litigation.
• Fluency in French and English, written and spoken.
• Proven ability to negotiate, secure and structure complex agreements.
• Autonomy, integrity, rigour, responsiveness, analytical thinking and influential leadership.
• Strong adaptability to demanding, multicultural and multi‑stakeholder environments.
